Article One
Section 1: There shall be two (2) classes of membership in the Association.
A.) Regular Membership: A Regular Membership may be held by any Marine who has ever been a member of a Marine Corps Musical Unit during his or her service in the Marine Corps. Each member shall be entitled to all privileges of membership and shall be entitled to one vote on all matters presented to the membership for approval.
B.) Honorary Membership: Honorary Membership may be conferred upon an individual or entity by unanimous vote of the Board of Trustees. Honorary Members shall have only such privileges as shall be granted by the Board of Trustees and shall in no event be entitled to vote. Honorary Membership, once bestowed, may only be revoked by majority consent of the Board of Trustees.
Section 2: Any question as to the eligibility for membership of any prospective member, or as to the membership status of any purported member, shall be determined by the Board of Trustees.
Section 3: Membership in the Association shall become effective at such time as the Administrator of the Association shall enter the member’s name and address upon the appropriate membership roll.
Section 4: Any membership in the Association may be cancelled for cause upon unanimous vote of the Board of Trustees. Non-payment of dues shall be considered as just cause for cancellation of membership and the Board of Trustees may cancel the membership of any member whose dues fall more than two (2) years in arrears.
Section 5: Membership dues shall be in such amount as may from time to time be established by the Board of Trustees.
Article Two
Section 1: The Annual Meeting shall be held at a time and place to be determined by the membership. The Administrator shall cause notice of the date, time, and place of the Annual Meeting to be included in a newsletter and mailed to each member, at the address appearing in the Association membership rolls, at least thirty (30) days prior to the annual meeting. At any meeting of the membership, fifteen (15) Regular Members personally present shall constitute a quorum.
Section 2: A regular meeting of the Board of Trustees shall be held at least once in each calendar year. Special meetings of the Board of Trustees may be called by the President.
Section 3: Meetings of any committee shall be at the call of the Chairman thereof. A majority of the membership of any committee shall constitute a quorum.
Article Three
Section 1: The Board of Trustees shall be the governing body of the Association and shall conduct the business of the Association. The Board of Trustees shall have complete control, supervision, and management of all the finances and property of the Association. Contracts on behalf of the Association shall be entered into only upon the authority of the Board of Trustees.
Section 2: The Board of Trustees shall consist of the Officers of the Association, each of whom shall be entitled to one vote upon any subject to come before the Board.
Article Four
Section 1: The Board of Trustees shall be Officers of the Association and shall be titled: President, Vice President, Secretary, Treasurer, Administrator, and Reunion Chairman. Only a Member in good standing shall be eligible to serve, or continue to serve, as an Officer of the Association. Each Officer, except the Administrator and the Reunion Chairman, shall be elected by the membership at the annual meeting and shall serve for a term of three years. No Officer shall serve consecutive terms in the same office.
Section 2: The President shall preside at all meetings of the membership and of the Board of Trustees. The President shall be an ex-officio member of all committees and shall appoint the members of such committees as may from time to time be created by the Board of Trustees. The President, together with the Treasurer, shall co-sign all checks.
Section 3: The Vice President shall preside at all meetings of the membership and of the board of Trustees in the absence of the President.
Section 4: The Secretary shall keep in permanent written form the minutes of the Annual Meetings of the membership.
Section 5: The Treasurer shall collect and disburse the funds of the Association, shall maintain accurate accounts of all receipts and disbursements, and shall be responsible for reasonable safekeeping of all Association assets or property coming into his or her possession. The Treasurer shall cause all monies and valuable effects to be deposited in the name of the Association in such banks or other depositories as may be designated by the Board of Trustees. The Treasurer shall submit a written annual report to the membership at the annual meeting. All records and accounts of the Treasurer shall be subject to audit at any time by the Board of Trustees or by any person or committee designated by the Board of Trustees. The Treasurer, together with the President, shall co-sign all checks.
Section 6: The Administrator shall be appointed by the President and shall be responsible for maintaining the records of the Association and for publication and mailing of a newsletter to all members. Other communications as appropriate or pursuits for the good of the order shall be effected.
Section 7: The Reunion Chairman for the Annual Reunion shall be appointed yearly by the President and shall be responsible for all aspects of the Reunion.
Section 8: A vacancy occurring in an Office of the Association shall be filled by appointment by the President.
Article Five
Section 1: The Articles or Regulations of the Association may be amended at a properly called meeting of the membership, at which a quorum shall be present, by a favorable vote of two-thirds of the voting members present at such meeting. No amendment to either the Articles or the Regulations may be considered or adopted at any meeting unless written notice of such meeting shall have been mailed to each voting member at least thirty (30) days prior to the date of such meeting, such notice to include a statement that amendments to the Articles or Regulations, or both, are to be considered at such meeting.
